Soluna Holdings' Compensation Committee approved a $600,000 annual base salary for CEO John Belizaire, effective retroactively to January 1, 2026, along with a target bonus equal to 100% of that amount, potentially bringing his total compensation to $1.2 million. The decision, disclosed in an SEC filing on July 24, 2026, was based on input from a compensation consultant and peer-group benchmarks. The bonus is discretionary and tied to performance goals, though specific targets were not disclosed. The announcement follows Soluna's May report of a 58% year-over-year increase in first-quarter revenue, which Belizaire attributed to operating leverage across the company's portfolio.

Soluna Holdings' (NASDAQ: SLNH) Compensation Committee approved a $600,000 annual base salary for CEO John Belizaire and a target bonus equal to 100% of that amount on July 9, according to an SEC filing Friday. Soluna reported in May that first-quarter revenue rose 58% year over year.
The salary increase applies retroactively to January 1, 2026. At the target level, Belizaire could receive a $600,000 annual bonus, bringing his combined base salary and target incentive to $1.2 million before any other compensation.
The bonus is discretionary and will depend on the committee's assessment of Belizaire's performance against goals established for the applicable performance period.
Soluna's committee considered earlier input from its compensation consultant about market competitiveness and peer-group benchmarks. The filing did not disclose the performance goals, their weighting, the range of potential payouts, or when a bonus would be paid.
Soluna reported the changes under Item 5.02(e), which covers compensatory arrangements for named executive officers. The filing lists July 9 as the earliest event reported and was submitted to the SEC on July 24.
Belizaire linked Soluna's first-quarter revenue gains to its operating portfolio in the company's May results announcement. "Our fourth consecutive quarter of sequential revenue growth and 58% year-over-year increase reflects the operating leverage we're building across the portfolio," he said.
