Vår Energi to acquire BlueNord in $1.3bn cash-and-stock deal
Norwegian oil and gas company Vår Energi has agreed to acquire rival BlueNord in a cash-and-stock deal valued at Nkr12.84bn ($1.33bn). The transaction, approved by both boards, will create the largest independent oil and gas producer in Europe. BlueNord shareholders will receive 248.4 million newly issued Vår Energi shares and Nkr1.96bn in cash, holding about 9.05% of the enlarged company. Eni will retain a majority stake of around 57.33%. The merger adds BlueNord's Danish Continental Shelf assets, including the Tyra, Halfdan, Dan, and Gorm hubs, to Vår Energi's Norwegian and North Sea operations. The combined entity targets long-term production of approximately 450,000 barrels per day, with BlueNord contributing around 45,000 boepd from 2026. Completion is expected by end of 2026, pending shareholder and regulatory approvals.
