MedX Health Corp Announces Final Closing of $2.8 Million Private Placement
MedX Health Corp. (TSX-V: MDX) has announced the final closing of its non-brokered private placement of Series IV Convertible Loan Notes to accredited investors. This follows an initial closing on February 27, 2026, and a subsequent extension application. The total amount raised through the placement is $2,800,000. Of this, $2,400,000 resulted from holders of Series I Notes surrendering their notes for Series IV Notes, while the remaining $400,000 came from new subscriptions. The Series IV Notes carry a 6% annual interest rate, payable quarterly, and mature on December 31, 2028. Holders may convert the notes into units at $0.10 per unit until maturity. Each unit consists of one common share and half a share purchase warrant exercisable at $0.125. Certain company insiders participated in the placement, which relied on exemptions under Multilateral Instrument 61-101. Qualified agents received $6,000 in cash commissions and 60,000 agent’s warrants. The raised funds are designated for replacing Series I Notes, further developing the SIAscopy® on DermSecure® telemedicine platform, expanding into the occupational health market, and general corporate purposes.
