HashKey Proposes to Acquire Entire Equity Interests in Singapore's APEX
HashKey Holdings Limited, a Hong Kong-listed digital asset company, announced that its subsidiary HKDAG (Singapore) Pte. Ltd. has entered into a non-legally binding Framework Agreement with the major shareholder of Asia Pacific Exchange Pte. Ltd. (APEX) to potentially acquire 100% equity in APEX. APEX operates a licensed derivatives exchange and clearing house in Singapore, holding both an Approved Exchange (AE) and Approved Clearing House (ACH) license from the Monetary Authority of Singapore (MAS). Only three market participants in Singapore hold both licenses. If completed, the acquisition would enhance HashKey's institutional trading, custody, payment, clearing, and settlement infrastructure, strengthening its regulated presence in Asia's core financial markets. The deal is subject to definitive documentation and MAS approval, and may or may not proceed. HashKey expects the acquisition to constitute a notifiable transaction under Hong Kong listing rules.
