Calgary-based industrial safety technology firm Blackline Safety has agreed to be acquired by an affiliate of US-based private equity firm Francisco Partners in a transaction valued at up to $850 million CAD. The deal will see Blackline delist from the Toronto Stock Exchange (TSX) and transition into a private company. Under the definitive agreement, shareholders will receive $9.00 per share in cash, with an additional contingent payment of $0.50 per share if the company achieves $145 million in annualized recurring revenue by October 31, 2027. This offer represents a significant premium over Blackline's recent trading average. The transaction, which has been recommended by Blackline’s board and special committee, is subject to shareholder approval and is expected to close in the second quarter of 2026. Major stakeholders, including DAK Capital and CEO Cody Slater, have agreed to roll over their equity. Francisco Partners aims to leverage its sector expertise to support Blackline’s growth in connected worker safety solutions, which include hardware and software for monitoring industrial hazards.
